A_General terms and conditions
These general terms and conditions belong to moodfactory BV (with registered office at Silversquare Central, Kantersteen 47, 1000 Brussels, RPR Brussels, VAT BE 0665.579.158) and all its legal successors (hereinafter “moodfactory”).
1. General provisions
These general conditions apply to all legal relations between moodfactory and the customer. Deviations from these general conditions shall only be opposable to moodfactory if moodfactory has expressly accepted them in writing. The application of general conditions of the customer is expressly excluded.
By the agreement of the customer to an offer, or by the signing or (start of) execution of the offer, the customer acknowledges to have knowledge of these general conditions and unconditionally and irrevocably accepts these general conditions. These general terms and conditions are an integral part of the quotation.
In case there are contradictions between these general terms and conditions and the quotation with the customer, the quotation shall prevail.
These general conditions are valid from February 1, 2020 and replace all previous ones. Moodfactory reserves the right to modify these general conditions at any time. With regard to current agreements, the client is deemed to have accepted an amendment if the client has not disputed the amendment in writing by registered letter within 4 weeks of receipt.
2. Provision of services
Moodfactory provides various consulting services to companies related to communication, including communication advice, formatting communication projects and plans, content strategy and management, developing journalistic productions, organizing workshops, events, providing coaching and training, conducting and publishing studies, building a community, writing and guiding literary works.
2.1. Quotes
All quotations issued by moodfactory are without obligation and moodfactory has the right, prior to the acceptance of the quotation by the customer, to correct errors in a quotation or to withdraw the quotation. The quotation is based on the data provided by the client. Quotations are valid for 1 month from the quotation date, unless otherwise stated in the quotation. A quotation is valid only with respect to the person to whom it is addressed.
Quotations include only the services mentioned therein, excluding additional work. Any changes are only valid after written confirmation by moodfactory. These general terms and conditions shall apply to such modifications.
The acceptance of an offer binds the customer. However, any agreement only comes into effect after moodfactory has confirmed receipt of the acceptance of the offer by the client and, if applicable, receipt of the advance payment or other security. By his acceptance, the client acknowledges being fully informed about all aspects of the services.
2.2. Implementation of services
The deadlines given are always indicative. The client accepts that the time schedule can be affected if the parties agree in the interim to change the approach, working method or scope. Moodfactory cannot be held liable for the exceeding of deadlines if the circumstances justify this, nor is this a valid ground for termination, dissolution or suspension of the contract by the client, nor can it give rise to any substitution, price reduction, termination of the contract or damages.
Moodfactory carries out its services in a professional, independent and efficient manner and will always represent the interests of the client in the execution thereof. Moodfactory will execute its services in accordance with the standards applicable to similar service providers. moodfactory is free in the organisation of the execution of the services, if necessary in consultation with the client. Moodfactory has the right to call upon third parties for the execution of certain services, without the consent of the client being required. Moodfactory cannot be held liable for actions of or negligence by any third party. All advice, documents and information provided by moodfactory to the client as part of the execution of the services, are exclusively intended for the client and for the purposes stated therein and no third party can refer to or rely upon them.
The client shall, itself or at the request of moodfactory, make all information and documents necessary for the execution of the agreement available to moodfactory in a timely manner, and shall cooperate in the required manner in the execution of the agreement, in accordance with applicable rules and legislation and the agreements between moodfactory and the client. The execution of the agreement relies on information and documents provided by the client. The client is solely responsible for the accuracy and completeness of the information and documents provided by the client. Moodfactory can under no circumstances be sued in court for fault or negligence, nor can the client not pay the invoice or only partially, due to incorrect or incomplete information provided by the client. If necessary, a surcharge may be charged as a result of additional work performed due to incorrect or incomplete information and the execution time may be extended.
The client undertakes to provide the employee of moodfactory in charge of the execution of the services, during normal working hours and according to the access rules of the company of the client, access to all areas and means necessary to allow (the employee of) moodfactory to perform the services. If the customer does not comply with these obligations, the execution period shall be extended and the price may also be adjusted.
The obligations of moodfactory within the framework of the execution of the services are obligations of effort. Any complaints regarding the service must be notified to moodfactory by registered letter with motivation within eight days after the service has been provided. No complaint gives the client the right to suspend his payment obligations.
2.3. Duration, cancellation and termination
The duration of the agreement is in principle until the end of the assignment, unless another duration was expressly agreed in writing.
Any request for postponement of the work shall be communicated to moodfactory by the client in writing with motivation. This request can take effect at the earliest on the day after the calendar month following the date of receipt by moodfactory of the request (hereinafter the “Start Date”). For example, if moodfactory receives the request in mid-February, the postponement will not be able to take effect until April 1 at the earliest and moodfactory shall deliver the scheduled work through March 31 or be 100% reimbursable if delivery is not possible. The new start-up date will be determined by mutual agreement. In any event, work may be postponed for up to six months after the Start-Up Date (further, the “Ultimate Start-Up Date”). A postponement can in no way relate to performance prior to the Start Date. If the request (also) relates to performance prior to the Start Date or it concerns a request for postponement after the Latest Start Date, the request for postponement will be considered as a cancellation by the customer of all or the remaining part of the agreement. If the client has paid an advance, moodfactory will retain the advance for the duration of the postponement.
Once the work is restarted, the order cannot be postponed again and any request for postponement will be considered as a cancellation by the customer. Even if no agreement is reached on the new start-up date, the request for postponement will be considered a cancellation by the customer.
Any cancellation by the customer of all or part of the agreement (to be executed) must be done in a timely manner and in writing with motivation. In the aforementioned cases, the client shall owe a lump-sum compensation of 50% of the agreed total amount, without prejudice to moodfactory's right to prove higher damages. The client shall in any case compensate moodfactory for services already rendered and those scheduled up to and including the next calendar month following the date of receipt by moodfactory of the cancellation request. For example, if moodfactory receives the request in mid-February, the customer shall in any case have to reimburse the services already delivered and those planned up to and including March 31. In addition, the customer shall in any case also reimburse expenses incurred and still to be incurred arising from obligations which moodfactory had already entered into for the purpose of executing the offer.
Any cancellation by moodfactory before the execution of the agreement or because during the execution of the services it appears that the agreement cannot technically be executed (except in case of fault or negligence on the part of the customer), moodfactory shall refund as soon as possible pro-rata any advance payment already made for services not yet executed and shall not be obliged to pay any other compensation.
In case the client fails to fulfill his obligations (including obligation to pay), in case of fraud, intentional fault or negligence on his part, in case of bankruptcy, incapacity, dissolution, cessation or liquidation, in case of insolvency of the client, moodfactory reserves the right at any time to immediately suspend the performance or terminate the agreement and all other agreements concluded with the client, immediately and without notice, judicial intervention, notice of default or compensation. In case of suspension, the period of suspension starts 8 days after notification of the suspension. All resulting costs shall be borne by the customer. In case of early termination of the agreement, all amounts due, even from invoices not yet due or issued, shall become immediately payable.
3. Prices and invoices
3.1. General provisions
All amounts are expressed in euros and exclude taxes (including VAT) and additional costs such as travel or administration costs, production costs (such as design costs, printing costs, etc.) rental of premises or catering, rental of didactic material and other extraordinary expenses incurred by moodfactory for the client, unless expressly agreed otherwise.
The client receives an invoice from moodfactory at the end of each month and/or after performing the service. Moodfactory reserves the right to invoice in stages.
Unless otherwise stipulated in the offer, services are performed at daily, project or hourly rates.
All invoices are payable to the account number indicated on the invoices within 30 days of the date of the invoices, unless otherwise agreed in writing.
Advance or other security may be required prior to the commencement and ongoing performance of services. These advances will be deducted from the final invoice. The customer is not entitled to set-off against moodfactory.
Complaints regarding invoices must be communicated within 8 calendar days after the invoice date by motivated registered letter. In the absence of a timely complaint, the invoice shall be deemed to be definitively accepted.
3.2. Non-payment
In the event of full or partial non-payment on the due date, the customer shall automatically and without notice owe interest of 1% per month started on the amount due, with a minimum of 25 euros, plus any legal costs and damages of 12% per year on the amount due, with a minimum of 250 euros.
In the event of full or partial non-payment of an invoice on its due date, the balance due on all other invoices, even those not yet due, shall become immediately payable. The same applies in case of imminent bankruptcy, dissolution or any other fact indicating the insolvency of the customer.
Redemptions are always accepted under all reservation and without any adverse acknowledgement, and are first allocated to the collection costs, then to the damage clause, the interest due and finally to the outstanding principal sum.
4. Confidential information and intellectual property rights
All information, oral or written, in any form, which can reasonably be assumed to be confidential, shall be treated as strictly confidential by the parties and cannot be copied, transferred, used or disclosed to third parties except in the case required by law or judicial authorities or after prior written approval by moodfactory. This provision survives termination of the agreement. Certain documents or other sources of information may be reclaimed by moodfactory upon termination of the agreement. The client, including its employees, appointees and consultants for whom it remains responsible, hereby agrees to comply strictly with the above provision.
The intellectual property rights owned or used by moodfactory or created within the framework of the execution of the agreement shall belong exclusively to moodfactory or a third party with which moodfactory has entered into an agreement. The execution of the agreement shall under no circumstances imply the transfer of the intellectual property rights. Nothing may be published or disclosed without the express permission of moodfactory. Except where there are statutory exceptions, the content and documentation, in whole or in part, may not be used or stored in any form or by any means, nor may the content and documentation, in whole or in part, be disclosed or transmitted to any third party, in any form or by any means, without the prior written consent of moodfactory. Client shall enforce the same from its employees, appointees and consultants. The making of image or sound recordings by the client is not permitted without the prior written consent of moodfactory. The customer is granted a non-exclusive and non-transferable right of access, use and display of the documentation in accordance with the objectives and purposes originally stated or agreements made.
In case the client itself provides material, such as texts, as part of the execution of the offer, the client guarantees that these are correct and that their use does not infringe any intellectual property rights and shall indemnify moodfactory for this. Any use by moodfactory of intellectual property rights of the client shall be strictly limited to the purposes of the agreement. Moodfactory shall refrain from any unauthorized or invalid use of these intellectual property rights.
Moodfactory has the right to use the name and logo of the client, documentation, visual material or the existence of this agreement. for general information or publicity purposes without owing the client any compensation. The customer can always protest this in writing, whereupon the entry will be immediately and permanently removed.
Personal data will be processed, used or stored for contractually defined purposes in compliance with applicable laws. In this regard, please also see the provisions regarding our Privacy Policy: https://moodfactory.be/nl/conditions which is deemed to be an integral part of these general terms and conditions. The customer shall also treat the personal data of moodfactory, its employees, appointees and consultants in accordance with the applicable privacy legislation.
5. Liability
Moodfactory and its employees, appointees and consultants can only be sued for fraud, willful misconduct or negligence, personal injury or death.
Moodfactory is not liable for any consequential or indirect damages such as but not limited to loss of profits, loss of savings, loss of clientele, loss of reputation, loss of data. Moodfactory is also not liable in case damage is suffered due to acts or lack of acts not exclusively attributable to moodfactory. The client indemnifies moodfactory against all claims which third parties would have against moodfactory as a result of the execution of the agreement.
Any compensation that would be owed by moodfactory shall always be limited to the amount invoiced for the order and in any case to the liability mandatorily imposed by law.
All circumstances which were reasonably unforeseeable and unavoidable at the time the offer was made and which, on the part of moodfactory, create the impossibility of executing the agreement or which would make the execution of the agreement financially or otherwise more burdensome or difficult than normally foreseen (such as, but not limited to, natural disaster, fire, destruction, supplier delays, exceptional traffic or weather conditions, illness of the project manager, failure of the customer to provide the necessary information) will be considered force majeure. They give the right to request the revision, compensation, suspension and/or cancellation of the contract by a simple written notification to the client, without being liable for any compensation. Moodfactory will inform the client of such situation as soon as possible.
6. Non-recruitment
During the term of the agreement and for 12 months following its termination, the client shall not employ, recruit or directly or indirectly approach any employees, consultants, representatives or subcontractors of moodfactory involved in the performance of the services, regardless of their status, with a view to recruitment or direct or indirect collaboration under any form.
If the client violates this article, it shall be automatically and by operation of law liable for liquidated damages equal to 25,000 EUR per violation, which the parties consider to be an estimate of the reasonable damages resulting from a violation of this article.
7. Miscellaneous
The customer may not assign his agreement or any part thereof to a third party without the express written consent of moodfactory. Should one or part of the provisions be declared void or inapplicable, the remaining provisions shall remain in full force and effect. Moodfactory and the customer shall then negotiate to replace the void provisions by equivalent provisions which meet the general spirit of these general conditions. Belgian law is applicable. All disputes shall be judged exclusively by the courts where moodfactory has its registered office.

Article 6 - Security and confidentiality
6.1. We have developed security measures, such as the use of passwords and anti-virus programs, which are adapted at the technical and organizational levels, in order to avoid the destruction, loss, falsification, modification, unauthorized access or inadvertent disclosure to third parties of personal data collected as well as any other unauthorized processing of this data. However, the security of data transmission over the Internet and the electronic storage of data cannot be guaranteed 100%.
6.2. Under no circumstances can moodfactory be held liable for any direct or indirect damages resulting from an erroneous or unlawful use by a third party of the personal data.
6.3. You must at all times comply with your own or agreed security regulations. Thus, you are solely responsible for the use made from the website of your computer, IP address and of your identification data, as well as for their confidentiality.
Article 7 - Third party access
7.1. In order to process your personal data, we grant access to your personal data to any employees and appointees.
7.2. We guarantee a similar level of protection by making contractual obligations opposable to these employees and appointees, which are similar to this Privacy Policy.
7.3. We also cooperate with certain third parties. Personal data is shared with those third parties only to the extent necessary for the performance of the agreement. We have entered into a data processing agreement with those third parties to ensure the proper storage and processing of your personal data for the sole purpose of executing our agreement and treating your personal data as confidential information, all in accordance with applicable rules and regulations. In the event that your personal data is used by third parties for other purposes, we will seek your consent.
